Terms of Service

1. Acceptance of Terms

By accessing or using the TekStudio.ai website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services. These Terms constitute a legally binding agreement between you and TekStudio.ai ("we," "our," or "us").

2. Description of Services

TekStudio.ai provides AI consulting services for businesses, including but not limited to:

• AI discovery and audit services to identify automation opportunities
• Custom AI agent development and integration
• AI strategy consulting and team training
• Ongoing support and maintenance of deployed AI solutions

Specific service scope, deliverables, and timelines are defined in individual project agreements or statements of work entered into between TekStudio.ai and the client.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for us to deliver our Services
• Designate appropriate personnel to participate in discovery calls, reviews, and feedback sessions
• Provide timely access to systems, data, and resources as agreed upon in the project scope
• Review and provide feedback on deliverables within agreed-upon timeframes
• Comply with all applicable laws and regulations related to your use of AI tools we develop

4. Intellectual Property

Unless otherwise specified in a separate written agreement:

• Client ownership: Upon full payment, the client owns all custom AI agents, workflows, and configurations developed specifically for their engagement
• TekStudio.ai ownership: We retain ownership of our proprietary tools, frameworks, methodologies, and general knowledge gained during engagements
• Pre-existing IP: Each party retains ownership of intellectual property that existed prior to the engagement

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of an engagement. This includes but is not limited to business processes, trade secrets, financial data, customer information, and technical specifications. Confidentiality obligations survive the termination of any engagement for a period of two (2) years.

6. Payment Terms

Payment terms are specified in individual project agreements. General terms include:

• Initial discovery calls and AI audits may be offered free of charge or at published rates
• Project fees are outlined in statements of work and are due according to the payment schedule therein
• Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law
• We reserve the right to suspend Services for accounts with outstanding balances exceeding 30 days

7. Limitation of Liability

To the maximum extent permitted by applicable law, TekStudio.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with our Services.

Our total aggregate liability for any claims arising from or related to our Services shall not exceed the total fees paid by you to TekStudio.ai in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless TekStudio.ai and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of our Services, your violation of these Terms, or your violation of any rights of a third party.

9. Termination

Either party may terminate an engagement as follows:

• By mutual written agreement at any time
• By either party with 30 days' written notice, subject to payment for work completed
• Immediately by either party if the other party materially breaches these Terms and fails to cure such breach within 15 days of written notice

Upon termination, all completed deliverables for which payment has been received will be transferred to the client. Work in progress may be delivered at TekStudio.ai's discretion.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which TekStudio.ai operates, without regard to conflict of law principles. Any disputes arising from these Terms shall first be subject to good-faith negotiation, followed by mediation, and if necessary, binding arbitration.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. For material changes, we will make reasonable efforts to notify active clients. Your continued use of our Services after changes are posted constitutes acceptance of the revised Terms.
